This document is an internal draft. It has not been reviewed or approved by a lawyer, it is not a final agreement, and it does not yet bind anyone. Wording, scope and the governing details below will change before any public release. It is published here only so the prototype's terms can be read while it is prepared. Do not rely on it as legal advice.
01What Stockboard is right now
Stockboard is pre-release, prototype software. The website explains an idea: a phone and desktop keyboard that counts the eligible keys you type so that, in a future release, those counts could earn Stock Tokens. That reward system does not exist yet.
The current build is a count-only prototype. It counts keys on your own device. It does not pay anything, it holds no balance for you, and the Android prototype has no internet permission. Nothing you do with it today earns money or tokens of any kind.
02Beta software, provided as is
Everything on this site and in the prototype apps is provided as is and as available, with no warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, availability, accuracy or non-infringement, to the fullest extent the law allows.
Because this is beta software, it may contain errors, may change without notice, may be interrupted, and may be withdrawn at any time. Features described here may never ship, or may ship in a different form. Use it at your own risk.
03Rewards are not active, and nothing here is an offer
Rewards and tokenized-stock payouts are not active. No reward has ever been paid. No rate per key has been set. Any earnings figures, balances, portfolios or token amounts shown on the site are illustrative demonstrations, clearly marked Demo, of how the idea would work. They are not earnings anyone has received and they are not a promise of any amount.
Nothing on this site or in these terms is an offer, solicitation, recommendation, distribution or invitation to buy, sell, subscribe for or receive any security, token, or financial product, and nothing here is a promise, guarantee or estimate of any reward. Any reward programme, if it launches at all, will have its own separate terms and will depend on the conditions in section 5.
04What Stock Tokens are, and their risks
Where the site refers to Stock Tokens, it means third-party tokenised real-world assets that track a company's share price. They are issued by a third party, not by Stockboard.
- Stock Tokens are not shares. They carry no ownership, no voting rights and no dividend entitlement in the underlying company, and they are not a brokerage account.
- They are tokenised securities and carry the risk of the issuer, not just the risk of the referenced company. Their value can fall as well as rise, and you could lose value.
- They are governed by the issuer's own terms and powers. The issuer can, among other things, pause a token, block an address, burn or freeze holdings and change token parameters. A token you hold could later be frozen, burned or otherwise affected by the issuer, which means it can be interrupted or revoked by a third party outside Stockboard's control.
- Any future delivery would happen to a self-custodial wallet that you control. Stockboard would not hold your Stock Tokens for you.
05Eligibility restrictions
If a reward programme ever becomes active, who may receive Stock Tokens is strictly limited by where they live, and the limits below apply. These restrictions come from the token issuer and from applicable securities law, not from a choice Stockboard makes.
- Stock Tokens cannot be offered, sold or delivered to US persons at any time.
- They are restricted or prohibited in Canada, the United Kingdom, Switzerland, the United Arab Emirates, and in sanctioned jurisdictions.
- Availability depends on where you live, and eligibility would need to be confirmed before any token could be delivered. Some form of verification may be required.
The exact eligibility rule and the standard of proof required are among the items still subject to legal review. Nothing in this section is a determination that any reward is lawful in your jurisdiction.
06Not investment, financial, legal or tax advice
Nothing on this site, in the prototype apps or in these terms is investment, financial, legal, accounting or tax advice, and nothing here is a recommendation to acquire, hold or dispose of any asset. Digital assets and tokenised securities are volatile and risky. You are responsible for your own decisions and should seek independent professional advice before acting.
07No affiliation or endorsement
Stockboard is independent. It is not affiliated with, endorsed by, sponsored by or partnered with any company, issuer, exchange, brokerage, blockchain network or platform referred to on this site, and none of them endorses Stockboard.
Company names, product names, logos and stock tickers that appear anywhere on this site are the property of their respective owners and are used for illustration and identification only. Their appearance does not imply any relationship, approval or sponsorship.
08Accounts and wallets are in beta
The optional sign-in and wallet layer is new and is in beta. Signing in creates a self-custodial wallet that you control. Stockboard does not custody your wallet and holds nothing for you in it. Because rewards are not active, the wallet is empty of any Stockboard reward: nothing is paid into it today.
- Your keyboard and its key counts are separate from any account. The keyboard never sends your typing, or your key counts, to an account, and the two are not linked.
- You are responsible for your own wallet, its keys and its recovery method. If you lose access, Stockboard cannot recover it for you.
- Some parts of the account layer are unverified. The end-to-end wallet sign-in flow has not yet been fully tested and confirmed, so the account experience may fail, change or be reset during beta. Treat it as a preview, not a finished, guaranteed service.
09The prototype apps
The prototype keyboards are provided for testing and demonstration only.
- They count eligible keys on your device. They do not pay rewards. The Android prototype has no internet permission and stores only a small daily count on your phone.
- The Android prototype has not been tested on physical hardware and is not currently offered as a public download. The Windows app is in development and is not signed. On Windows, exclusion of password fields is best effort and cannot be as complete as on Android.
- How the prototype handles your typing is described in the Privacy section of the site. The short version: it counts keys, it does not store or send what you type, and it skips password and private fields.
10Acceptable use
You agree not to misuse Stockboard. In particular, do not automate, simulate, script or fake keystrokes or activity, do not attempt to manipulate any counting or future reward mechanism, do not interfere with or attempt to break the software or its security, and do not use it for any unlawful purpose. Any future reward programme would count only genuine, human typing.
11Limitation of liability
To the fullest extent permitted by law, Stockboard and the people who build it will not be liable for any loss or damage arising from your use of, or inability to use, this beta software or website, including any lost data, lost value, or reliance on any figure shown here. This is prototype software offered without charge and without warranty. Nothing in these terms limits any liability that cannot lawfully be limited.
12Changes to these terms
These terms are a draft and will change. A final version will be prepared with legal review before any public release, and before any reward programme is offered. Continued use after a change means you accept the updated terms. Check back for the current version.
13Governing law and contact
The legal entity that operates Stockboard, the governing law, the dispute-resolution terms and a contact address are still to be set and will be added when this draft is finalised with legal counsel. They are intentionally left blank here rather than stated inaccurately.
